• 1. Acceptance of Terms

  1. 1.1 Binding Agreement

     By accessing, registering for, or using any services ("Services") provided by IPcook, including but not limited to proxy networks, APIs, dashboard tools, and related software, you ("User" or "You") acknowledge and agree that you have read, understood, and accepted these Terms of Service ("Terms") in their entirety. You represent that you are at least 18 years of age or the legal age of majority in your jurisdiction and possess the legal capacity to enter into this agreement. If you are using the Services on behalf of a company, organization, or other legal entity, you further represent and warrant that you have full authority to bind such entity to these Terms.

  2. 1.2 Modifications & Updates

     IPcook reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Material changes will be communicated through reasonable means, which may include email notifications, dashboard alerts, or announcements on our website. Your continued use of the Services following such modifications constitutes your unconditional acceptance of the revised Terms.

  3. 1.3 Electronic Agreement

     Your affirmative action in using the Services, including but not limited to clicking "I Agree" during the registration process, API integration, or payment confirmation, shall constitute valid electronic acceptance of these Terms. Such acceptance carries the same legal weight as a handwritten signature and creates a binding contractual agreement between you and IPcook.

  4. 1.4 Prohibited Jurisdictions

     The Services are not available in jurisdictions where proxy services are prohibited or restricted by applicable laws or regulations. You bear sole responsibility for ensuring that your access to and use of IPcook's Services complies with all local legal requirements in your jurisdiction.

  5. 1.5 Access & Termination

     IPcook expressly reserves the right, in its sole discretion, to deny, restrict, suspend, or terminate your access to the Services at any time and without prior notice if you violate these Terms. While you may discontinue using the Services at any time, please note that all fees paid are non-refundable except as otherwise expressly provided in these Terms or required by applicable law.
     
     This section establishes the fundamental contractual relationship between you and IPcook and sets forth the basic terms governing your use of our Services. Your access to and use of the Services is expressly conditioned upon your acceptance of and compliance with these Terms in their entirety.

• 2. Service Description

  1. 2.1 Overview of Services

     IPcook offers comprehensive proxy and networking solutions designed to provide enhanced privacy, security, and data access capabilities. Our services include residential and datacenter proxies featuring high-quality IP addresses from global locations to accommodate various use cases. We provide developer-friendly API integration tools for streamlined proxy management and automation, along with an intuitive user dashboard for monitoring usage, managing subscriptions, and configuring proxy settings. Additionally, our geolocation services enable targeted IP routing to access region-specific content while ensuring compliance with applicable regulations.

  2. 2.2 Service Limitations

     All services are subject to our fair usage policy, which may result in throttling or account suspension in cases of excessive bandwidth consumption or automated abuse. Certain features may depend on third-party providers, such as payment processors, which operate under their own terms and conditions. Please note that our proxy IPs may rotate periodically as part of our dynamic IP pool, while dedicated IPs are offered under separate terms and conditions.

  3. 2.3 Updates & Discontinuations

     IPcook reserves the right to modify, suspend, or discontinue services with prior notice, except in emergency situations where immediate action may be required. Paid subscribers will receive notification of any significant changes that may affect service functionality or pricing structure. We are committed to maintaining transparent communication regarding any service modifications that may impact our users.

• 3. User Obligations & Prohibited Activities

  1. 3.1 General Obligations

     When utilizing IPcook's Services, you expressly agree to fulfill several important responsibilities. You must ensure all registration information provided is accurate, complete, and kept current throughout your use of our Services. Maintaining strict confidentiality of your account credentials is mandatory, as you bear full responsibility for all activities conducted under your account. Compliance with all applicable local, national, and international laws and regulations is required at all times. Should you become aware of any unauthorized access to or use of your account, you are obligated to immediately notify IPcook's support team.

  2. 3.2 Strictly Prohibited Activities

     IPcook maintains a zero-tolerance policy regarding misuse of our Services. Under no circumstances may you engage in illegal activities including but not limited to hacking, fraud, phishing operations, spamming, or malware distribution. The Services must not be used to violate copyright protections, bypass paywalls, scrape protected content, or otherwise infringe upon intellectual property rights. Any form of network abuse such as excessive automated requests, DDoS attacks, or activities that may disrupt our infrastructure is strictly forbidden. Deceptive practices including impersonation, identity falsification, or circumvention of security measures are prohibited. Commercial resale or redistribution of our Services requires explicit written authorization from IPcook. The distribution of illegal, obscene, or harmful material through our Services is absolutely prohibited, as is any activity related to child sexual abuse material (CSAM).

  3. 3.3 Compliance Monitoring & Enforcement

     IPcook maintains active monitoring systems to detect violations of these terms. We retain the unequivocal right to immediately suspend or terminate accounts found in violation without prior notice. In cases involving illegal activities, we will cooperate fully with law enforcement agencies and legal investigations, which may include providing service logs as evidence. Please note that accounts terminated for violations will not be eligible for any refunds of remaining subscription balances.

  4. 3.4 Ethical Use Policy

     We expect all users to maintain high ethical standards when using our Services. This includes respecting robots.txt directives and website terms of service across all platforms you access through our Services. When conducting web scraping activities, you must implement reasonable request rates to avoid overburdening target servers. All opt-out requests and privacy preferences must be honored without exception. Special care should be taken to avoid targeting vulnerable systems or individuals in any capacity.

  5. 3.5 Consequences of Violations

     Violations of these terms will result in serious consequences, which may include immediate service termination without warning. In more severe cases, permanent banning from all IPcook services may be enforced, along with forfeiture of any remaining subscription balance. Where appropriate, IPcook reserves the right to pursue legal action against violators. It is important to understand that the examples provided herein are not exhaustive, and IPcook retains sole discretion in determining what constitutes inappropriate use of our Services.

• 4. Account & Payments

  1. 4.1 Account Registration

     To create and maintain an account with IPcook, you must meet the minimum age requirement of 18 years or the legal age of majority in your jurisdiction. All registration information provided must be complete, accurate, and kept up-to-date throughout your use of our services. You bear sole responsibility for maintaining the confidentiality of your account credentials and for all activities conducted under your account. IPcook reserves the right to request identity verification documents for accounts exhibiting high-volume usage or suspicious activity patterns, as part of our security and fraud prevention measures.

  2. 4.2 Subscription Plans

     Our service pricing is transparently displayed on the IPcook website, with all listed amounts exclusive of applicable taxes and fees unless otherwise specified. Subscription plans automatically renew at the end of each billing cycle (monthly or annual) unless properly cancelled through your account dashboard. Please note that all services are subject to fair usage limitations that vary according to your selected subscription tier, designed to ensure equitable access for all users.

  3. 4.3 Payment Terms

     IPcook accepts various payment methods including major credit cards, Google Pay, and select cryptocurrencies for your convenience. By submitting your payment details, you expressly authorize us to process recurring charges according to your selected billing cycle. Electronic invoices documenting all transactions will be made available through your account dashboard. Immediate service suspension may occur in cases of declined or failed payments, with reactivation contingent upon successful payment processing.

  4. 4.4 Refund Policy

     All payments made to IPcook are generally non-refundable, except where prohibited by applicable consumer protection laws. Under limited circumstances, refund requests submitted within three days of purchase may be considered for situations involving technical issues that fundamentally prevent service usage, duplicate or erroneous charges, or material misrepresentation of our services. Such exceptions are evaluated on a case-by-case basis at our discretion.

  5. 4.5 Account Termination

     You may terminate your account at any time through the dashboard interface, with service access continuing until the end of your current paid billing period. IPcook reserves the right to terminate accounts for violations of these Terms, payment delinquencies, suspicious or fraudulent activity, or when required by legal or regulatory obligations. Account termination by IPcook typically results in immediate service discontinuation without refund.

  6. 4.6 Price Changes

     In the event of subscription price adjustments, IPcook will provide users with at least 30 days' advance notice through email and dashboard notifications. Existing subscribers will have the option to continue service at the new rate, downgrade to a lower-tier plan, or cancel their subscription before the price change takes effect. This notice period allows users adequate time to evaluate their continued use of our services.

  7. 4.7 Credits & Promotions

     Special offers and promotional credits are subject to the specific terms and conditions stated at the time of the offer. Please note that any account credits issued are non-transferable between users and will expire immediately upon account closure. IPcook maintains the right to revoke promotional benefits or credits in cases where we determine the offer is being misused or abused, as determined at our sole discretion.

• 5. Limitation of Liability

  1. 5.1 Scope of Liability

     IPcook provides its services on an "as-is" and "as-available" basis without warranties of any kind. To the fullest extent permitted by applicable law, we expressly disclaim any guarantees regarding service continuity, performance accuracy, or complete security of our systems. Users acknowledge and agree that IPcook bears no responsibility for the content, actions, or policies of third-party websites, networks, or services that may be accessed through our proxy solutions. Under no circumstances shall IPcook be held liable for indirect, incidental, special, consequential, or punitive damages arising from use of our services, including but not limited to financial losses such as lost profits or revenue, operational damages including business interruption, data loss or corruption, or intangible harms such as reputational damage.

  2. 5.2 Maximum Liability Cap

     To the maximum extent permitted by applicable law, our aggregate liability to any user, whether in contract, tort, or otherwise, shall be strictly limited. For paying customers, our total liability shall not exceed the fees actually paid to IPcook during the three (3) months immediately preceding the event giving rise to the claim. Users accessing our services through free tiers, trial periods, or other non-paid offerings expressly acknowledge and agree that IPcook shall have no liability whatsoever for any damages, losses, or claims arising from or related to their use of the Services.

  3. 5.3 Exceptions to Limitations

     Notwithstanding the above limitations, certain legal jurisdictions may not permit the exclusion or limitation of liability for specific types of damages. Accordingly, these limitations shall not apply in cases involving: (i) gross negligence or willful misconduct on the part of IPcook; (ii) physical injury or death directly caused by our services; or (iii) where prohibited by mandatory consumer protection legislation such as that existing in the European Union or United Kingdom. These exceptions shall be construed narrowly and only to the extent required by applicable law.

  4. 5.4 User Responsibility

     By utilizing our services, you expressly acknowledge and accept that such use is at your sole risk and discretion. You agree to implement appropriate technical and organizational measures to protect your critical data, including maintaining current backup copies independent of our services. Furthermore, you undertake to fully indemnify and hold harmless IPcook from any claims, damages, or liabilities arising from your misuse of our services in violation of these Terms.

  5. 5.5 Force Majeure

     IPcook shall not be considered in breach of these Terms or liable for any delay or failure in performance resulting from circumstances beyond our reasonable control. Such force majeure events include but are not limited to natural disasters, governmental actions or restrictions, internet service provider outages, and cyberattacks targeting our infrastructure that occur despite implementation of industry-standard security measures. In such events, our obligations shall be suspended for the duration of the force majeure circumstance.

• 6. Governing Law & Dispute Resolution

  1. 6.1 Governing Law

     These Terms of Service and any disputes related to IPcook's services shall be exclusively governed by and interpreted in accordance with the laws of [Jurisdiction, e.g., Hong Kong Special Administrative Region]. This governing law provision applies regardless of any conflict of law principles that might otherwise require the application of another jurisdiction's laws.

  2. 6.2 Mandatory Arbitration

     All disputes, claims, or controversies arising from these Terms shall be finally resolved through binding arbitration administered by [Arbitration Institution, e.g., HKIAC] pursuant to its current rules. By agreeing to these Terms, both parties expressly waive their rights to pursue disputes through class actions, collective actions, or representative proceedings, committing instead to resolve all matters through individual arbitration. The arbitration proceedings shall be conducted in English with [City, e.g., Hong Kong] as the legal seat of arbitration.

  3. 6.3 Exceptions to Arbitration

     Notwithstanding the arbitration requirement, either party retains the right to seek injunctive relief in court when necessary to prevent imminent harm, particularly in cases involving unauthorized service use or intellectual property violations. Additionally, disputes that qualify for small claims court jurisdiction may be brought directly in such courts without first proceeding through arbitration.

  4. 6.4 Negotiation & Mediation

     Prior to initiating formal arbitration proceedings, the parties agree to engage in good faith efforts to resolve disputes amicably. This process requires the complaining party to provide written notice detailing the nature of the dispute, followed by a minimum 30-day negotiation period. Should negotiations fail to resolve the matter, the parties shall then attempt mediation with a mutually agreed neutral mediator, with mediation costs shared equally between both parties.

  5. 6.5 Time Limitation on Claims

     All claims relating to these Terms or IPcook's services must be formally asserted within one year from when the claim or cause of action first arose. Failure to initiate proceedings within this one-year period will result in permanent forfeiture of the right to pursue such claims.

  6. 6.6 Compliance with Local Laws

     Should any portion of this dispute resolution provision be found unenforceable, the remaining provisions shall remain in full force and effect. Importantly, for users residing in jurisdictions with mandatory consumer protection laws (such as the European Union, United Kingdom, or Australia), nothing in this section shall restrict or eliminate statutory rights to bring claims in local courts when such rights cannot be contractually waived.
